Abstract:
This paper focuses on the definition of Corporate Governance, its driving factors, the various corporate governance principles, the key issues arising from enforcement of corporate governance practices and the recommendations on how to improve corporate governance. Corporate governance was seen as a key determinant of financial performance thus the researcher focuses on corporate governance and three of its attributes i.e. Transparency, Disclosure and Accountability, she then evaluates financial performance using the attributes of Return on Investment (ROI), Return on Assets (ROA) and Funds Utilization. The study continues to examine how these two variables and their attributes are practiced by the corporation in order to achieve its targets and also seeks to establish the relationship between corporate governance and financial performance. The study objectives were to examine each of the above corporate governance practices in NWSC and link them to financial performance. Corporate governance is based on underlying principles such as conducting the business with integrity and fairness, being transparent with regard to all transactions, making all the necessary disclosures, decisions and accountabilities as a responsibility towards the stakeholders, complying with all the laws of the land, and being committed to conducting business in an ethical manner. So, because public sector reforms brought about shared and participative governance as a new form of corporate governance, this document addresses corporate governance and how it influences the financial performance of NWSC as a public sector company and also provides a survey of empirical evidence on the link between corporate governance and financial performance.
